These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer" or "you") and Applied Continuity LLC dba KnowledgeBricks ("KnowledgeBricks," "we," "us," or "our") governing your use of this website and of the knowledge capture services we provide, including any optional hosted search (collectively, the "Service").
By using this website or engaging us to provide services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. We will notify active clients of material changes by email, and post the updated Terms on this page. Continued use of the Service following notice of updated Terms constitutes acceptance of the revised Terms.
Engagements are billed on time and materials at $150 per hour, on site and remote alike, with a 40 hour minimum engagement, as described on our How we work page.
The scope, schedule, payment terms, and expense treatment for each engagement are set out in a statement of work signed by both parties. Where a statement of work and these Terms conflict, the statement of work governs.
Hosted search is optional. If you choose it, its fee and term are set out in the statement of work or a separate order. Hosting is never required to open or use the files we deliver to you.
We may change our published rates with 30 days' notice. A change does not affect a statement of work already signed.
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend or terminate access for any account found to be in violation of these provisions, without prior notice in cases of serious or repeated violations.
Your material, unconditionally: All material you provide to us, and all material your personnel produce in the course of an engagement, remains yours at all times. This includes recordings, transcripts, notes, documents, drawings, data exports, and anything else you supply or disclose. You grant KnowledgeBricks a limited, non-exclusive license to hold, process, and use that material solely to perform the services, and for no other purpose. This ownership is not conditioned on payment, on completion of the engagement, or on anything else. If an engagement terminates for any reason and at any stage, your material remains yours and is returned or destroyed to your instruction.
Work product, on payment in full: The structured knowledge vault and other deliverables we build from your material are work product. KnowledgeBricks retains ownership of that work product until both of the following have occurred: you have executed the applicable statement of work or order document, and we have received payment in full of the fees due under it. On satisfaction of both conditions, all right, title, and interest in the work product transfers to you, and we will deliver it in the agreed open formats. Where a scoped pilot or engagement does not proceed to completion, we will delete the work product within 30 days and certify that deletion in writing on request.
No training on your material: We will not use your material, your personnel's inputs, or any output generated for you to train, fine-tune, or otherwise improve any model, product, or service made available to any other customer or to the public. Where model adaptation occurs at all, it occurs solely for you.
Our own materials: Our elicitation methodology, templates, schemas, internal tooling, and any general know-how or techniques we hold before an engagement or develop independently of it remain our property. Nothing in these Terms transfers ownership of those to you, and nothing in this paragraph limits your ownership of your material or of the work product once it has transferred to you under the paragraphs above.
Feedback: If you provide feedback, suggestions, or ideas about our services, you grant us a royalty-free, irrevocable license to use that feedback in any manner we choose, without obligation to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. KNOWLEDGEBRICKS MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

It is provided for informational purposes only and does not constitute professional advice, legal, financial, engineering, or otherwise. You are responsible for evaluating whether any information from the Service is appropriate for your specific situation and for decisions made in reliance on it.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KNOWLEDGEBRICKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF KNOWLEDGEBRICKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KNOWLEDGEBRICKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Termination of an engagement is governed by its statement of work. If you have chosen hosted search, you may cancel it as set out in the statement of work or order that covers it, and your files remain yours and usable without it.
We may suspend or terminate your access to the Service immediately, without prior notice, if you materially breach these Terms, fail to pay fees when due, or if we reasonably believe your use poses a security risk or legal liability. Upon termination, your right to access the Service ceases immediately.
Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, shall survive termination.
These Terms are governed by the laws of the State of Indiana, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Indiana for the resolution of any dispute arising out of these Terms or the Service.
Before filing any legal action, you agree to contact us at legal@knowledgebricks.com and make a good-faith effort to resolve the dispute within 30 days. This requirement does not apply to requests for injunctive or other equitable relief.
These Terms, together with our Privacy Policy and any applicable statements of work, constitute the entire agreement between you and KnowledgeBricks regarding the Service and supersede all prior agreements or understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
