Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer" or "you") and KnowledgeBricks, Inc. ("KnowledgeBricks," "we," "us," or "our") governing your access to and use of the KnowledgeBricks platform, including all portals, tools, content, and related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the Service following notice of updated Terms constitutes acceptance of the revised Terms.

Subscriptions & Billing

Access to the Service requires a paid subscription. KnowledgeBricks offers the following plans:

  • Solo Plan: $150 per seat per month, billed monthly. Provides access to one named user.
  • Private Hub Team: $8,000 per year (base), plus $1,000 per user over 5 seats, billed annually. Provides access for the configured team with shared workspaces, SSO, and org-specific methodology framing.
  • Custom Portal: Pricing is scoped individually based on portal configuration, content requirements, and team size. Custom plans are governed by a separate order form.

All fees are due in advance. Monthly subscriptions are billed on the same day each month; annual subscriptions are billed at the start of each annual period. Payments are processed by Stripe. By subscribing, you authorize KnowledgeBricks to charge your payment method on a recurring basis.

Subscriptions renew automatically unless cancelled before the renewal date. To cancel, you may do so through your account settings or by contacting billing@knowledgebricks.com. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods except as required by applicable law or at our sole discretion in cases of clear billing error.

We reserve the right to change pricing with 30 days' notice. Price changes will not apply to the current billing period.

Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to generate, distribute, or store content that is illegal, defamatory, harassing, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or our infrastructure
  • Use automated tools, bots, scrapers, or other means to extract content from the platform in bulk without our prior written consent
  • Resell, sublicense, or otherwise make the Service available to third parties outside your authorized team, except as explicitly permitted under a Custom Portal agreement
  • Reverse-engineer, decompile, or disassemble any component of the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair our systems
  • Transmit or upload any content that contains malware, viruses, or other malicious code

We reserve the right to suspend or terminate access for any account found to be in violation of these provisions, without prior notice in cases of serious or repeated violations.

Intellectual Property

KnowledgeBricks content: All practitioner articles, frameworks, knowledge base content, and platform software are the proprietary intellectual property of KnowledgeBricks, Inc. or its licensors. Nothing in these Terms transfers ownership of this content to you. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the content for your internal business purposes during the term of your subscription.

Your content: For Custom Portal customers, any proprietary content (SOPs, internal documents, procedures) that you upload to your portal remains your intellectual property. You grant KnowledgeBricks a limited license to host, process, and serve that content solely for the purpose of operating your portal. We will not use your proprietary content for any other purpose.

Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, irrevocable license to use that feedback in any manner we choose, without obligation to you.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. KNOWLEDGEBRICKS MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

Content available through the Service reflects practitioner knowledge and judgment as of the time of publication. It is provided for informational purposes only and does not constitute professional advice, legal, financial, engineering, or otherwise. You are responsible for evaluating whether any information from the Service is appropriate for your specific situation and for decisions made in reliance on it.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KNOWLEDGEBRICKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF KNOWLEDGEBRICKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KNOWLEDGEBRICKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Termination

You may terminate your subscription at any time by cancelling through your account settings or by contacting our billing team. Termination takes effect at the end of the current paid period.

We may suspend or terminate your access to the Service immediately, without prior notice, if you materially breach these Terms, fail to pay fees when due, or if we reasonably believe your use poses a security risk or legal liability. Upon termination, your right to access the Service ceases immediately.

Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, shall survive termination.

Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Delaware for the resolution of any dispute arising out of these Terms or the Service.

Before filing any legal action, you agree to contact us at legal@knowledgebricks.com and make a good-faith effort to resolve the dispute within 30 days. This requirement does not apply to requests for injunctive or other equitable relief.

General

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and KnowledgeBricks regarding the Service and supersede all prior agreements or understandings.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
